Terms & Conditions
This Agreement gives you certain benefits, rights and obligations as follows. Your use of the Site and Services, whether as a trial user or as a subscriber, signifies your agreement to these Terms of Use. Use of a User name and password as a subscriber or for trial purposes constitutes the User’s agreement to read, understand, and comply with the terms and conditions specified below during the period of use of the Site and Services, and shall be construed together with the terms of any License Agreement executed or assented between User (or User’s Company) and Audit Integrity.
A subscription or trial subscription provides access to the Audit Integrity site for an individual user, with a unique email address. All alerts and documents will be directed to User for User’s personal use. Access of this site via any automated process such as scripts or "bots" is prohibited.
The information is for Subscriber’s personal, internal use only User will not syndicate, license, or redistribute, digitally or in print, to any third party for any purpose, including any non-licensed individual in User’s Company or in another Company with which User has some affiliation, whether or not such activity is part of User’s services to clients, without the prior written consent of the Chief Executive Officer of Audit Integrity, whether as a stand-alone product or in conjunction with other data or information. User is also expressly prohibited from violating the copyrights, or other intellectual property rights, of Audit Integrity and its information providers and may not remove any copyright notice contained in any materials downloaded from the Database. User acknowledges that all proprietary rights in the information received shall remain the property of either Audit Integrity or its providers of information.
Audit Integrity makes no representation or warranty, express or implied, to User or any other person or entity as to the accuracy, timeliness, completeness, non-infringement, merchantability or fitness for any purpose of the information contained in this Website. User expressly agrees that (a) the information shall not be deemed to be a recommendation to purchase, hold, or sell any securities, (b) the information will be weighed by the User as one factor in any investment or other decision made by or on behalf of User, and (c) User will accordingly make its own study and evaluation of each subject corporation surveyed and of any security issued by any such corporation.
Neither Audit Integrity nor any of its providers of information shall have any liability for the accuracy of the information contained in the Service, or for delays or omissions therein. None of the foregoing parties shall be liable to any third-party claims or losses of any nature, including but not limited to, lost profits, punitive or consequential damages.
By posting messages, uploading information, inputting data or engaging in any other form of communication (individually or collectively "Communications") to the Site, User hereby grants to Audit Integrity a license to store, transmit or display such materials, solely in connection with those functions or services requested by User. Audit Integrity's privacy practices and principles are set forth in our Privacy Policy.
User represents, warrants and covenants that User shall not upload, post or transmit to or distribute or otherwise publish through the Audit Integrity Services any materials which (i) restrict or inhibit any other user from using and enjoying the Site, (ii) are unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, offensive, harassing, pornographic, profane, sexually explicit or indecent, (iii) constitute or encourage conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate law, (iv) violate, plagiarize or infringe the rights of third parties including, without limitation, copyright, trademark, patent, rights of privacy or publicity or any other proprietary right, (v) contain a virus, Trojan horse, worms, time bombs, robots or other harmful component intended to disrupt or interfere with the intended operation of the Site or any other site on the World Wide Web, or (vi) constitute or contain false or misleading indications of origin or statements of fact.
In addition User will not (a) attempt to gain unauthorized access to the Services or the Audit Integrity accounts of others, (b) use the Site or Services, or any part thereof, to harass or harm any other User or any other person in any way; (c) impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity; (d) interfere with or disrupt the Site or servers of networks connected to the Site, or disobey any requirements, procedures, policies or regulations of networks connected to the Site; (e) disparage, defame, libel or make untrue, malicious, offensive statements about Audit Integrity or the Site, or use the Site or Services to violate any applicable, local, state, national or international law or regulation.
User’s subscription will continue until User notifies Audit Integrity by telephone, fax, or electronic mail of User’s decision to terminate the subscription, or until terminated by Audit Integrity. For your convenience, we will automatically update your expiration date to continue your service uninterrupted unless you notify us otherwise. In the event of cancellation of service by Subscriber, any funds paid in advance for a subscription are forfeit. If any provision of this Agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect. This Agreement, all intellectual property issues, and User’s rights and obligations shall be governed by the laws of the United States of America and California governing contracts wholly entered into and wholly performed within California.
Audit Integrity reserves the right to determine to whom it will provide service and to terminate the Agreement at any time.
Audit Integrity reserves the right to change the price for its services at any time.
Audit Integrity reserves the right, at its sole discretion, to change, modify, add or remove any portion of these Terms and of Use and any other policy posted on the Site, in whole or in part, at any time. Notification of changes in Audit Integrity's Terms of Use will be posted on the Audit Integrity.net Web Site. You are responsible for regularly reviewing the Terms of Use and all posted policies on the Site. By continuing to use the Site and Services after we have posted changes to these Terms of Use or any other posted policy, you agree to and accept such changes.
The Site may contain links and pointers to the other related World Wide Web Internet sites. Audit Integrity is not responsible for any content of such Web Sites or the privacy or other commercial practices of such Web Sites. The links do not imply Audit Integrity's endorsement of, or association with, the linked sites, unless otherwise stated. Audit Integrity cannot be responsible for the privacy practices of any sites that provide a link to our site, or the practices of any site to which we provide a link. We encourage all visitors and users of our system to review the privacy policies of each site they visit.
